Terms of Service
Please read these Terms of Service carefully before using any of SecureITSimply’s services, platforms, or solutions. By engaging with us, you agree to be bound by these terms.

Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “User,” or “you”) and SecureITSimply (“Company,” “we,” “us,” or “our”), governing your access to and use of our cybersecurity products, managed services, consulting, and related digital platforms.
By accessing our website, signing a service agreement, or using any of our solutions, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use of our services immediately.
Note: If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Services Provided
SecureITSimply provides a range of cybersecurity and IT services, which may include but are not limited to:
- Managed Security Services (MSS) and Security Operations Centre (SOC) support
- Managed Extended Detection & Response (XDR)
- Email protection, filtering, and anti-phishing solutions
- Data protection, backup, and recovery services
- Endpoint security and vulnerability management
- Cloud security consulting and implementation
- Cybersecurity awareness training and advisory
- Compliance readiness and risk assessments
The specific services applicable to you are defined in your individual Service Agreement or Statement of Work (SOW). In the event of a conflict between these Terms and a signed agreement, the signed agreement shall take precedence.

Eligibility
Our services are intended for businesses, enterprises, and individual professionals. By using our services, you represent and warrant that:
- You are at least 18 years of age or the age of majority in your jurisdiction
- You have the legal capacity to enter into binding contracts
- Your use of our services does not violate any applicable laws or regulations
- You are not located in, or a national or resident of, any country subject to applicable trade sanctions or embargoes

User Accounts & Access Credentials
Certain services may require you to create an account or receive access credentials. You agree to:
- Provide accurate, complete, and current information during registration
- Maintain the security and confidentiality of your login credentials
- Notify us immediately of any unauthorized use of your account or any security breach
- Accept full responsibility for all activities that occur under your account
Security reminder: SecureITSimply will never request your password via email, phone, or chat. Treat any such request as a phishing attempt and report it to us immediately.

Acceptable Use Policy
You agree to use our services only for lawful, authorized purposes. You must not, directly or indirectly:
- Attempt to gain unauthorized access to any system, network, or data
- Reverse engineer, decompile, or disassemble any of our software or tools
- Use our services to conduct, facilitate, or assist in any form of cyberattack
- Transmit malware, ransomware, spyware, or other malicious code
- Use our infrastructure to send unsolicited communications (spam)
- Resell, sublicense, or transfer access to our services without prior written consent
- Interfere with or disrupt the integrity or performance of our services
- Violate any applicable local, national, or international law or regulation
Violation of this policy may result in immediate suspension or termination of services and may be reported to relevant authorities.

Intellectual Property
All content, software, tools, methodologies, reports, and materials provided by SecureITSimply — including but not limited to dashboards, documentation, playbooks, and proprietary platforms — are and shall remain the exclusive intellectual property of SecureITSimply or its licensors.
You are granted a limited, non-exclusive, non-transferable licence to use our deliverables solely for your internal business purposes during the term of your service engagement. No ownership rights are transferred to you.
Client-provided data, systems, and materials remain the property of the Client. You grant us a limited licence to access and process such materials solely for the purpose of delivering the agreed services.

Confidentiality
Both parties acknowledge that in the course of the engagement, each may receive access to confidential and proprietary information belonging to the other (“Confidential Information”). Both parties agree to:
- Keep all Confidential Information strictly private and not disclose it to any third party without prior written consent
- Use Confidential Information solely for the purpose of fulfilling obligations under the service agreement
- Implement reasonable safeguards to protect the confidentiality of received information
- Promptly notify the other party if a breach of confidentiality occurs or is suspected
Confidentiality obligations survive the termination of the service relationship by a period of three (3) years, unless a separate NDA specifies otherwise.

Data Processing & Privacy
SecureITSimply is committed to responsible data handling. When processing personal data on your behalf, we act as a data processor and comply with applicable data protection laws, including India’s Digital Personal Data Protection Act (DPDPA) and any relevant international standards such as GDPR where applicable.
- We collect and process only the data necessary to deliver our services
- We do not sell, rent, or trade your data with any third party for commercial purposes
- We maintain appropriate technical and organizational measures to protect data against unauthorized access, loss, or destruction
- Upon termination, client data will be returned or securely deleted in accordance with agreed data retention policies

Payment Terms
Payment obligations are governed by the commercial terms in your signed Service Agreement or SOW. Unless otherwise stated in writing:
- Invoices are due within thirty (30) days of the invoice date
- Late payments may attract interest at a rate of 1.5% per month or the maximum permitted by applicable law
- We reserve the right to suspend services in the event of non-payment exceeding 15 days past the due date, with prior notice
- All fees are quoted exclusive of applicable taxes (GST or other), which shall be borne by the Client
- Fees paid are non-refundable unless expressly stated otherwise in the agreement

Limitation of Liability
To the fullest extent permitted by applicable law, SecureITSimply shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of data, loss of business, or reputational harm, arising from your use of or inability to use our services.
Important: Our total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you to SecureITSimply in the three (3) months preceding the event giving rise to such liability.
Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification
You agree to indemnify, defend, and hold harmless SecureITSimply, its directors, officers, employees, agents, and partners from and against any claims, liabilities, damages, penalties, fines, costs, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms or any applicable law or regulation
- Your misuse of our services or any unauthorized access facilitated by you
- Third-party claims resulting from content or data you have provided to us
- Your breach of any representation, warranty, or obligation under any signed agreement

Termination
Either party may terminate the service engagement in accordance with the notice period specified in the applicable Service Agreement. In the absence of a specific agreement, thirty (30) days’ written notice is required.
SecureITSimply reserves the right to suspend or terminate services immediately and without notice if:
- You materially breach these Terms or any signed agreement
- Your activities pose a security risk to our infrastructure or other clients
- You engage in fraudulent, abusive, or illegal activity
- Payment obligations are not met within the specified cure period
Upon termination, all licences granted to you will immediately cease. Provisions relating to confidentiality, intellectual property, liability, and governing law shall survive termination.

Changes to These Terms
SecureITSimply may update or revise these Terms from time to time to reflect changes in our services, legal requirements, or business practices. We will notify you of material changes by:
- Posting a revised version on our website with an updated effective date
- Sending a notification to your registered email address
Your continued use of our services following notice of changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.

Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
Prior to initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of thirty (30) days. If unresolved, disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 of India.
